1. Acceptance of Terms

By accessing or using the Restrologic platform ("Service"), you ("Customer") agree to be legally bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with any part of these terms, you must not use the Service.

2. Description of Service

Restrologic provides a cloud-based Software-as-a-Service (SaaS) hospitality intelligence platform ("Platform") which may include, but is not limited to: AI-Native POS, Autonomous Inventory Management, GenAI Support Core, Autonomous Call Center, Predictive Upsell Agent, and AI Theft Analysis modules. The specific modules available to you are determined by your subscription agreement.

The Service is hosted and delivered over the internet. No software is sold or transferred to the Customer.

3. Subscription and Payment

3.1 Pricing

Restrologic offers custom pricing based on your business size, modules selected, and usage requirements. All pricing is communicated individually via a formal quote or proposal. There is no public pricing listed on this website. Payments are processed securely via Razorpay (Razorpay Software Private Limited, a licensed payment aggregator).

3.2 Billing Cycle

Subscription fees are billed in advance for the agreed billing period (monthly or annually as specified in your agreement). GST at the applicable rate (currently 18%) is charged in addition to the subscription fee.

3.3 Late Payment

Restrologic reserves the right to suspend access to the Platform if payment is not received within 7 days of the due date. Service will be restored upon receipt of full payment.

3.4 Price Changes

Restrologic may revise pricing with 30 days' written notice to the email address associated with your account. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

4. License Grant

Subject to these Terms and timely payment, Restrologic grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform solely for your internal business operations during the subscription term.

5. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Platform.
• Use the Service to process data of third parties without their consent.
• Attempt to gain unauthorized access to the Platform or its infrastructure.
• Resell, sublicense, or commercially exploit the Service without written permission.
• Use the Service in violation of any applicable Indian law, including the IT Act, 2000.
• Upload or transmit viruses, malware, or any malicious code.

6. Customer Data

You retain full ownership of all data you input into the Platform ("Customer Data"). You grant Restrologic a limited license to process Customer Data solely to provide the Service. Restrologic will not sell, share, or use Customer Data for any purpose outside of service delivery and improvement. You are responsible for the accuracy, legality, and appropriateness of all Customer Data.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party and to use it only for the purposes of this agreement. This obligation survives termination of the agreement for a period of three (3) years.

8. Intellectual Property

All rights, title, and interest in and to the Platform, including all underlying software, algorithms, AI models, trademarks, and documentation, remain the exclusive property of Restrologic (Nidhi Arora, Proprietor). Nothing in these Terms transfers any IP rights to the Customer.

9. Disclaimers and Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Restrologic does not warrant that the Service will be uninterrupted, error-free, or free of viruses. AI-generated insights and recommendations are advisory in nature; the Customer bears sole responsibility for any business decisions made based on such outputs.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Restrologic's total aggregate liability to you arising out of or relating to these Terms shall not exceed the total subscription fees paid by you in the three (3) months immediately preceding the event giving rise to the claim. Restrologic shall not be liable for any indirect, incidental, consequential, punitive, or special damages.

11. Indemnification

You agree to indemnify and hold harmless Restrologic, its proprietor, and its agents from and against any claims, damages, losses, and costs (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law.

12. Term and Termination

These Terms commence on the date you first access the Service and continue until your subscription is terminated. Either party may terminate the subscription in accordance with the Cancellation Policy. Restrologic may terminate immediately if you materially breach these Terms and fail to cure the breach within 14 days of written notice. Upon termination, your license to access the Platform ceases. Customer Data will be available for export for 30 days post-termination, after which it will be permanently deleted.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including acts of God, government actions, pandemics, network outages, or natural disasters.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Indore, Madhya Pradesh, India. The parties agree to first attempt to resolve disputes through good-faith negotiation for a period of 30 days before initiating legal proceedings.

15. Amendments

Restrologic reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Service after modifications constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
